Romania
Romania’s National Authority for Management and Regulation in Communications (ANCOM) has issued new spectrum licenses to Vodafone Romania, Digi Romania, and Telekom Romania Mobile Communications. The move follows the Authority’s prior approval for the transfer, temporary sharing, and leasing of certain frequency usage rights among the three operators.
Background: Vodafone’s Acquisition of Telekom Mobile
The license modifications stem from the completion of the transaction through which Vodafone Romania S.A. gained sole control over Telekom Romania Mobile Communications S.A., while Digi Romania S.A. acquired exclusive control over a portion of Telekom Mobile’s assets — including network towers, infrastructure, and equipment — as well as its entire prepaid mobile service operations.
The transaction was conditionally authorized by the Romanian Competition Council on July 25, 2025, with ANCOM providing technical support and regulatory expertise during the evaluation process to ensure optimal outcomes for the telecom market, users, and industry stakeholders.
License Adjustments and Validity
As a result of these structural changes, ANCOM modified the individual frequency licenses of all three operators to reflect the transfer, temporary sharing, and leasing of spectrum resources, in accordance with legal provisions and mutual agreements between the companies.
The updated frequency usage licenses remain valid until April 5, 2029, and December 31, 2031, respectively, depending on the specific frequency bands involved.
Spectrum Transfers: Telekom to Digi Romania
Under the approved transactions, Telekom Romania Mobile Communications transferred to Digi Romania the rights to use the following radio frequency sub-bands previously held in the 900 MHz, 1800 MHz, 2100 MHz, and 2600 MHz bands:
- 900 MHz: 895–900 MHz / 940–945 MHz
- 1800 MHz: 1770–1785 MHz / 1865–1880 MHz
- 2100 MHz: 1940–1950 MHz / 2130–2140 MHz
- 2600 MHz: 2500–2510 MHz / 2620–2630 MHz
Following these adjustments, Telekom Romania Mobile will retain its coverage obligations associated with the remaining spectrum holdings, while Digi Romania assumes the coverage responsibilities linked to the newly acquired frequency resources.
Temporary Shared Use of Spectrum
To facilitate band re-arrangement and ensure continuous, efficient spectrum allocation, ANCOM approved the temporary shared use of certain frequency blocks between Vodafone Romania and Telekom Romania Mobile Communications.
This temporary arrangement—lasting one to two months—is designed to enable the two operators to reorganize their spectrum holdings into contiguous blocks, improving the technical efficiency and service quality of their radio networks.
Temporary Leasing Agreements
In accordance with its legal mandate to oversee and manage frequency resources, ANCOM also approved short-term leasing agreements to ensure service continuity for end-users during technical operations arising from the spectrum transfers.
These measures allow operators to perform necessary network reconfigurations and gradual implementations without service disruptions.
Additionally, ANCOM authorized Digi Romania to lease 2×2 MHz (893–895 MHz / 938–940 MHz) from Telekom Romania Mobile Communications within the 900 MHz band. The lease period will extend from December 1, 2025, to April 5, 2029, under the Radio Frequency Leasing Agreement concluded between the two parties.
Strengthening Romania’s Mobile Infrastructure
Through these coordinated regulatory actions, ANCOM aims to ensure efficient spectrum utilization, fair competition, and the continuity of high-quality mobile services in Romania’s rapidly evolving telecommunications market.
The transactions mark a significant milestone in the restructuring and consolidation of Romania’s mobile sector, paving the way for more robust and efficient 4G and 5G network deployments nationwide.
